Open Connect Limited is a wholesale Telecommunication services provider that was set on 8 th March 2016 to house and develop Telecommunications infrastructure for the purpose of providing wholesale carrier infrastructure services in Malawi. The company, therefore, is an open-access infrastructure company, a neutral player in the Telecom industry.
The company went through a major transition on 28 th June 2018, when 60% of the share stake was in aggregate re-issued to PADF1 and PADF2. Immediately after the transaction, the company engaged Digital Things, a South African-based Consultant to help OCL in translating Shareholders’ goals and objectives into Business goals and Business Objectives.
OCL, therefore, seeks to recruit a Legal Manager tenable at Head Office – Blantyre.

Reporting to: Chief Operating Officer
Job Purpose
The Legal Manager will be responsible for corporate secretarial, legal, regulatory, and enterprise risk management services to OCL.
- i) Regulatory
- Conduct License negotiations with a regulatory body.
- Set up license monitoring, implementation, enforcement, compliance, and reporting structures.
- Apply and negotiate for Master Facilities Service Access Agreement, type approval for OCL facilities.
- Draw up and file corporate social responsibility obligations.
- Liaise with the regulatory body on tariff approval.
- Negotiate and implement universal service obligations where the need arises.
- Apply and negotiate for license amendments.
- Lobby with regulators on a conducive operating environment.
- Act as a link with other operators for a unified approach to common operator issues.
- II) Legal
- Provide input into drafting, reviewing, negotiating, and finalizing relevant legal documentation.
- Implement, monitor, and general management of customer and vendor contracts.
- Assist with resolving customer disputes.
- Advise on applicability and interpretation of OCL legal documentation.
- Render legal opinions and advise on personnel matters (personnel policies, recruitment, grievances, mediation, and disciplinary procedures).
- Assist with litigation, when necessary.
- Create and supervise maintenance of customer and supplier contracts database.
- Liaise with and manage external legal counsel.
- Provide general legal advice relating to the day-to-day running of the company.
iii) Company Secretary
- File with the Registrar General for registration any changes to the Company’s corporate status, shareholding, Directorship, and particulars of Directors.
- Prepare, conduct, and attend Board and Committee meetings.
- Take minutes, prepare Board Resolutions, maintain minutes, and follow up on the implementation of Board Resolutions.
- Preparing materials and presentations, when appropriate, securely disseminate the same to the board members prior to the meeting in hard copy or electronically.
- Serve as the focal point for communication with the board and shareholders.
- Maintain key corporate documents and records.
- Conduct performance assessment for the Board.
- File annual returns for registration with the Registrar General.
- Advise on, participate in, and process share dealings, certification, and transfers/issues.
QUALIFICATION, KNOWLEDGE, SKILLS, AND EXPERIENCE
| Qualification | Master/Bachelor of Law specializing in corporate law |
| Experience: | 3 – 5 years’ experience in the corporate legal and regulatory environment |
| Skills/Expertise: | Telecoms regulations, corporate law, company secretary, banking, and finance. |
